1. Acceptance of Terms

By accessing or using the VMedlink Portal(the “Portal”), you agree to be bound by these Terms and Conditions (“Terms”),together with any additional guidelines or policies referenced herein,including our Privacy Policy. If you do not agree to these Terms, you must notaccess or use the Portal. These Terms constitute a binding agreement betweenVexxia Solutions Inc. and the individual or entity accessing the Portal (“you”,“your”, or “User”).

2. Description of the Service

The VMedlink Portal is an online platformoperated by Vexxia Solutions that enables registered business users to browse,order, and track medical and healthcare products; access order histories,invoices, and documentation; view and download product resources; andcommunicate with Vexxia’s customer service and logistics teams. The Portal isintended solely for business and institutional use, not for consumer orindividual retail purchases.

2. Account Registration and Responsibility

To use the Portal, you must register for anaccount by providing accurate and complete information. You agree to keep yourcredentials confidential, notify us immediately of unauthorized access, andensure that all activity under your account complies with these Terms. Vexxiareserves the right to suspend or terminate accounts that violate these Terms.

4. Authorized Use

You agree to use the Portal solely forlawful purposes related to your professional or organizational activities. Youmust not hack, disrupt, use automated scraping tools, upload malicious code,misrepresent your identity, or engage in fraudulent or unlawful conduct.

5. Orders and Transactions

All product orders placed through thePortal are subject to acceptance and confirmation by Vexxia, productavailability, and applicable pricing and payment terms. Prices are displayed inCanadian Dollars unless otherwise specified. Vexxia reserves the right tocorrect pricing errors or cancel erroneous orders.

6. Payments

Payment terms are defined by your account’scommercial agreement with Vexxia. You agree to pay all invoices in full by thedue date. Late payments may incur interest or service charges. Payments areprocessed securely through third-party payment processors in compliance withPCI DSS standards.

7. Shipping and Delivery

Shipping methods, timelines, and carriersare specified at checkout or in your account agreement. Risk of loss and titletransfer upon delivery to the carrier unless otherwise stated. Delays caused bycarriers or force majeure events are outside Vexxia’s control.

8. Returns and Refunds

Return eligibility and conditions aregoverned by Vexxia’s Return & Warranty Policy. Medical products that aresterile, temperature-sensitive, or regulated cannot be returned unlessdefective or shipped in error.

9. Intellectual Property

All content on the Portal, including text, graphics, logos, and software code, is the property of Vexxia Solutions Inc. or its licensors. You are granted a limited, non-exclusive license to use the Portal for business transactions. You may not reproduce, modify, or reverse-engineer any part without written consent.

10. Data Protection and Privacy

Use of the Portal is governed by our Privacy Policy, which explains how information is collected, used, and protected. By using the Portal, you acknowledge and consent to the practices described therein.

11. Availability and Maintenance

Vexxia strives to keep the Portalaccessible 24/7 but does not guarantee uninterrupted or error-free operation.Temporary suspensions may occur for maintenance or technical issues. We are notliable for losses resulting from downtime.

12. Warranties and Disclaimers

The Portal and its content are provided “asis” and “as available.” Vexxia disclaims all warranties, express or implied,including merchantability or fitness for a particular purpose. We make norepresentations about continuous or error-free operation or data accuracy.

13. Limitation of Liability

To the fullest extent permitted by law,Vexxia Solutions Inc. shall not be liable for indirect, incidental,consequential, or punitive damages, or loss of profits, data, or businessopportunities. In no event shall total liability exceed the amount paid for thespecific product or service giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmlessVexxia Solutions Inc. and its affiliates from any claim, loss, or liabilityarising from your use of the Portal or violation of these Terms.

15. Termination

Vexxia may suspend or terminate your Portalaccess without notice if you breach these Terms or misuse the Portal. Upontermination, all rights granted under these Terms will cease immediately.

16. Modifications

Vexxia may update these Terms at any time.The Effective Date will be revised accordingly. Continued use of the Portalconstitutes acceptance of the updated Terms.

17. Governing Law and Jurisdiction

These Terms are governed by the laws ofOntario and the applicable laws of Canada. You agree to the exclusivejurisdiction of the courts in Toronto, Ontario.
